CR Woodside, LLC d/b/a Canyon Ranch Wellness Retreat (“Sponsor”) is pleased to introduce the KQED REFRAME FESTIVAL Drawing (the “Promotion”) made available at https://www.canyonranch.com/kqed-reframe-festival/ both known as “The Site.” The Promotion begins on April 20, 2024, at 12:00 am Pacific Standard Time (“PST”) and ends on April 30, 2024, at 11:59 pm, PST (the “Promotional Period”). Pacific Standard Time shall control for all purposes of the Promotion. Sponsor’s computer shall be the official clock for purposes of the Promotion.

Enter for a chance to win one complimentary two-night stay for two people staying in the same room to Canyon Ranch Wellness Retreat in Woodside, CA. The specifics of the prizes are as follows:

A two-night retreat stay for two people staying in the same room at Canyon Ranch Wellness Retreat in Woodside, California, to include deluxe accommodations; three nutritious gourmet meals daily; complimentary fitness classes, sports activities and wellness presentations. The resort amenities fee* and tax are also included. * Airfare and ground transportation to and from Canyon Ranch Wellness Retreat are not included. (Approximate retail value $2866.72)

• The resort amenities fee or any portion of it does not represent a tip, gratuity or service charge for wait staff employees, service employees or any other employee at Canyon Ranch Wellness Retreat.

Any prize details not specified above will be determined by the Sponsor in its sole discretion and restrictions may apply. Sponsor reserves the right to make prize substitutions of equal or greater value.

Must be a California Resident. Directors, officers, employees, contractors, agents, or representatives of Sponsor, and of its respective franchisees, parent, affiliated companies, subsidiaries, distributors, retailers, suppliers, printers, advertising and promotion agencies, and any and all other companies associated with the design or execution of the Promotion, as well as their immediate family and household members, whether related or not, are not eligible to enter the Promotion. “Immediate family” shall mean parents, step-parents, legal guardians, children, step-children, siblings, step-siblings, or spouses. “Household members” shall mean those people who share the same residence at least three (3) months a year. By participating in the Promotion entrants agree to be bound by these Official Rules and the decisions of Sponsor, which are binding and final on matters related to this Promotion. Promotion is subject to all applicable federal, state and local laws.

Marketing: By submitting an entry, entrants will have the opportunity to opt-in to Sponsor’s marketing databases and consent to the receipt of marketing communications from the Sponsor on social media platforms. Such opt-in constitutes subsequent affirmative consent, which supersedes any previous opt-out submitted to the Sponsor. All information will be used in accordance with the Sponsor's privacy policies, available at http://www.canyonranch.com/privacy-policy. Sponsor uses reasonable commercial efforts to comply with Federal CAN-SPAM guidelines and entrants may subsequently opt-out of receiving further marketing communications by following the opt-out instructions set forth in the Sponsor’s aforementioned privacy policies or as provided within any such marketing communication (e.g., clicking the “Unsubscribe” feature). Entrants may opt-out at any time and doing so will have no impact on an entrant’s chances of being selected as a winner.

Promotion Prize Drawing: One (1) winner will be selected in a random drawing held on or about May 3, 2024, from all eligible entries received. Odds of winning will depend on the total number of eligible entries received. The Promotion can only be entered once. The winner will be announced on or around May 7th. Winner will be contacted via the email address provided in entry form. Failure to confirm receipt of prize within 72 hours of notification will result in disqualification.

Winner is responsible for all applicable federal, state and local taxes, if any, as well as other costs and expenses associated with prize acceptance and use not specified herein as being provided; Winner will be required to supply a form W-9 upon acceptance of the prize.

In the event of non-compliance with these Official Rules or if the prize is not used by December 20, 2024 the prize will be forfeited. An unclaimed and/or unused prize, or component thereof, will remain the property of Sponsor or its designee. Sponsor shall have no responsibility or obligation to a winner who is unable or unavailable to, or who does not for any reason, accept or utilize the prize. All prize details are at the sole and absolute discretion of Sponsor and/or its respective designee and any depiction of the prize, in Promotion materials or otherwise, is for illustrative purposes only.

Winner must select travel dates between 5/7/24 and 12/20/24, which shall be subject to capacity controls, availability, Sponsor approval, and other restrictions, all of which are subject to change. Once arrangements have been confirmed at the property, no changes will be allowed except by Sponsor at its sole and absolute discretion. Any travel expenses are the sole responsibility of the winner. All federal, state and local taxes levied on the prize, and all costs and expenses related to the acceptance and use of the prize not specified herein as being provided, including, but not limited to, additional room charges, room upgrades, retail purchases, long distance phone calls, souvenirs, and charges in excess of the specified service allowance, are the sole responsibility of the winner.

The winner and his or her guest, if applicable, must follow all instructions of Sponsor relative to the prize and any component thereof. Except where prohibited, the winner’s guest, if any, must be eighteen (18) years of age or older and the age of majority in his or her state of residence at the time the prize is redeemed. In the event the winner or his or her guest engages in behavior that, as determined by Sponsor in its sole discretion, violates Sponsor’s property policy, Sponsor reserves the right to terminate the prize early, in whole or in part, with no further compensation. In such event, the winner may also be required to reimburse Sponsor for the ARV of the Award.

THE PRIZE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON- INFRINGEMENT.

Released Parties (as defined below) are not responsible for lost, late, incomplete, inaccurate, stolen, misdirected or undelivered email; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunication or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer network, typographical, printing or otherwise relating to or in conjunction with the Promotion, including, without limitation, errors or difficulties which may occur in connection with the administration of the Promotion, the processing of entries, the announcement of the prize or in any Promotion-related materials.

Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Promotion. Persons who tamper with or abuse any aspect of the Promotion or website or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated entries will be void. Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Promotion and, if terminated, at its discretion, select the potential winner from all eligible, nonsuspect entries received prior to action taken or as otherwise deemed fair and appropriate by the Sponsor. Entrants, by participating, agree that the Sponsor and its owners, parents, affiliates, subsidiaries and advertising and promotion agencies and all of their respective officers, directors, employees and representatives and agents (collectively, "Released Parties") will have no liability whatsoever for, and shall be released and held harmless by entrants from and against any liability for any injuries, losses or damages of any kind, including death, to persons, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in this Promotion or the rights granted herein. The winner, by acceptance of this prize, except where legally prohibited, grants permission for Sponsor and their designees to use his/her name, address (city and state), photograph, voice and/or other likeness and prize information for advertising, trade and promotional purposes without further compensation, in all media now known and hereafter discovered, worldwide in perpetuity, without notice or review or approval. The winner, by acceptance of the prize, further agrees to defend, indemnify and hold harmless each of the Released Parties from and against any and all claims or actions arising out of or in connection with participation in the Promotion, acceptance or use of the prize, any breach of representation made in connection with the Promotion, and the exercise by Sponsor and/or its designees of any rights granted by these Official Rules. In the event of a dispute regarding entries received from multiple users having the same email account, the authorized subscriber of the email account at the time of entry will be deemed to be the entrant and must comply with these rules. Authorized account subscriber is the natural person who is assigned the email address by the Internet Service Provider (ISP), online service provider, or other organization responsible for assigning email addresses. Use of any device to automate entry is prohibited.

The Promotion is subject to all applicable federal, state and local laws and regulations. Receiving the prize is contingent upon accepting and fulfilling all requirements of these Official Rules. Sponsor reserves the right without liability to disqualify any entry or entrant and/or suspend, modify and/or terminate the Promotion, or any part of it, if Sponsor determines, in its sole and absolute discretion, that the Program is not capable of running as planned, including, without limitation, insufficient entries, suspected or actual evidence of electronic or non-electronic tampering with any portion of the Promotion, or if computer virus, bugs, unauthorized intervention, fraud, or technical difficulties or failures compromise or corrupt or affect the administration, integrity, security, fairness, or proper conduct of the Promotion. In the event that the Promotion is cancelled or terminated prior to the stated expiration date, notice will be posted on the Site and the ARV of the prize will be awarded to the extent required by law in a manner that is fair and equitable as determined by Sponsor. All interpretations of these Official Rules and decisions by Sponsor are final.

This Promotion is governed by the internal laws of the United States of America and the State of California.

By entering the Promotion, entrants agree:

To be bound by these Official Rules and that the decisions of the Sponsor will be binding and final in all respects; and

To furnish executed copies of any documents required by Sponsor in order to be confirmed as an entrant;

That the Sponsor and its designees shall have the right and permission to use winner's full name, city and state of residence, photographs or other likenesses, pictures, portraits, video, voice, testimonials, biographical information (in whole or in part), for advertising, promotional and/or any other purpose in any media without additional compensation unless prohibited by law; and
